IGD’s Board of Statutory Auditors is made up of three standing members and three alternates.
The Board of Statutory Auditors currently in office was appointed during the Shareholders’ Meeting held on 18 April 2024. The standing Statutory Auditors are Massimo Scarafuggi and Barbara Idranti, drawn from the list submitted by the majority shareholder Coop Alleanza 3.0, and Iacopo Lisi (who acts as Chairman of the Board), drawn from the minority list submitted by the shareholder Unicoop Tirreno.
The Board of Statutory Auditors will be in office for three financial years and will remain so until the Shareholders’ Meeting which will be called for the approval of the 2026 financial statements.
The Board of Statutory Auditors in office until 18 April 2024 was comprised of Gian Marco Committeri (who acts as Chairman of the Board), Massimo Scarafuggi and Daniela Preite as Standing Auditors and Daniela Del Frate, Aldo Marco Maggi and Ines Gandini as Alternate Auditors.

Iacopo Lisi
Role: Chairman of the Board of Statutory Auditors

Iacopo Lisi was born in Livorno in 1962 and graduated in Economics and Commerce at the University of Florence in 1991. He then qualified as a Chartered Accountant and is enrolled in the Register of Auditors, in addition to being an Expert of the Court of Florence.
He has been managing partner of Studio Lisi e Associati in Florence since 1991.
He has been and is a consultant to Italian and foreign companies in the following sectors:
– Industry: construction, hospitals, building materials, prefabricated goods, timber, textile-fashion, footwear, household appliances, furniture, motor vehicle accessories, gas, agricultural products;
– Services: public and private transport, public services, air terminals, publishing;
– Miscellaneous: cooperation (in particular construction, transport, large-scale retail trade), financial activities (financial intermediaries, holding companies, consortia and cooperatives providing collective credit guarantees), public entities, private non-profit (associations, religious congregations) and others;
– Italian business associations: Lega Pro – Lega Italiana Calcio Professionistico, Confcommercio Toscana, Confapi Toscana (association of medium-sized enterprises).
He has developed particular experience and expertise in corporate and tax consultancy to corporate groups; extraordinary corporate transactions, in particular mergers, M&A, restructuring and reorganisation of groups and local authority subsidiaries.
He has been and still is Chairman and member of Boards of Statutory Auditors of supervised, listed, private, public and mixed public-private companies in the following sectors: financial intermediaries/supervised by the Bank of Italy, publishing, public transport, airports, tramways, real estate, holding companies, utilities, retirement homes.
At IGD, he was appointed Chairman of the Board of Statutory Auditors in April 2024.
Barbara Idranti

Barbara Idranti was born in Bologna in 1967 and graduated in Economics and Commerce at the University of Bologna in 1992.
After an initial experience as Senior Manager auditing area at the auditing company Uniaudit, she has been practising as an Auditor (enrolled in the Register of Auditors) and Chartered Accountant (enrolled in the Register of Chartered Accountants of Bologna) since 1996, founding her own firm.
As a freelance professional, she is a member of Boards of Auditors, a member of Boards of Directors and liquidator of important companies in our territory.
In the course of his auditing activities, she has gained considerable experience in the preparation of interim and annual financial statements and consolidated financial statements, analysis of internal administrative procedures and consequent identification of areas for improvement aimed at the correct representation of economic facts in the financial statements, examination of consolidation procedures and identification of intercompany information flows, legal auditing, auditing and certification of financial statements.
During her professional activity as a Chartered Accountant, she has also developed skills in accounting, tax and corporate matters.
At IGD, she took on the role of Statutory Auditor in April 2024.

Massimo Scarafuggi was born in Florence in 1966 and graduated in Economics and Commerce at the University of Florence in 1991. After a brief professional experience in the field of auditing at ‘Reconta Ernst & Young’, he enrolled in the Order of Chartered Accountants and Accounting Experts of Florence and began his activity as a chartered accountant, founding his own firm in 1997. Enrolled in the Register of Auditors, he has held and still holds the position of statutory auditor and supervisory board member, in banks (Banca Ifigest, Cassa di Risparmio di Lucca Pisa Livorno, Banca Area Pratese, Banca di Pescia), SGRs (MPS Venture SGR, QuattroR SGR) and listed companies (Aeroporto G. Marconi Airport in Bologna and Montefibre), operating in the credit, financial and industrial sectors, belonging to corporate groups of national importance (Banco Popolare, Pirelli, Monte dei Paschi di Siena, Rekeep, ICCREA), with public shareholdings, and held by investment funds (MPS Venture SGR, 21 Investimenti SGR, Star Capital SGR), gaining significant experience in the area of corporate governance and control systems. He is also a member of various Supervisory Bodies.
He works as a judicial appointee at the Court of Florence and has more than 30 years of experience in the field of bankruptcy proceedings in the role of receiver, commissioner and judicial liquidator and in assisting companies in the adoption of procedures for the resolution of the crisis.
At IGD, he has held the position of Statutory Auditor since April 2021.
The Board of Statutory Auditors is the body that is responsible for ensuring compliance with the law and with the Articles of Association and is has a supervisory role over the running of the company, being specifically required to verify compliance with the principles of proper management and the adequacy and the effective operation of the organisational, administrative and accounting structure adopted by IGD. Furthermore, it is responsible for overseeing the procedures adopted to effectively implement the corporate governance rules as provided for in the Corporate Governance Code, as well as for overseeing the adequacy of the provisions issued by IGD to its subsidiaries. Furthermore shareholders grant the assignment to the external auditors on the basis of the motivated opinion submitted by the Board of Statutory Auditors. In addition, the Board takes on the role of Committee for Internal Control and Financial Audit pursuant art. 19 of Legislative Decree n.39/2010.
The Chairman of the Board of Statutory Auditors is responsible for coordinating the work of the Board itself and for liaising with the other corporate bodies involved in the governance of control systems.
In 2023 the Board of Statutory Auditors met 9 times and each meeting lasted an average of 55 minutes.
